1. Applicability
These general terms and conditions apply to all quotations, agreements, services and work provided by Artifium, unless otherwise agreed in writing.
By accepting a quotation or using Artifium’s services, the client acknowledges having read these terms and conditions and agrees to accept them in full.
2. Services
Artifium provides services in the areas of strategic advice, operational support, project management, process optimisation, product development and related consultancy activities.
All services are performed on the basis of an obligation of means. Artifium undertakes to apply its expertise and experience to the best of its ability, without guaranteeing any specific result.
3. Quotations and Agreements
Quotations are non-binding and remain valid for 30 calendar days, unless otherwise stated.
An agreement is concluded upon written confirmation by the client or as soon as Artifium begins performing the assignment.
4. Fees and Payment
Invoices are payable within 14 days of the invoice date, unless otherwise agreed in writing.
In the event of late payment, default interest shall be due automatically and without prior notice of default, at the statutory interest rate applicable to commercial transactions, together with fixed compensation amounting to 10% of the outstanding amount, subject to a minimum of €150.
Artifium reserves the right to suspend its work for as long as outstanding invoices remain unpaid.
5. Cooperation and Information
The client undertakes to provide all information, documents and resources required to perform the assignment in a timely manner.
Delays or additional costs resulting from incomplete or late provision of information may lead to adjustments to the schedule, budget or scope.
6. Confidentiality
The parties undertake to treat all confidential information obtained in connection with their cooperation as strictly confidential.
This obligation shall continue after the cooperation has ended.
7. Intellectual Property
All documents, methodologies, analyses, processes, models, presentations and other intellectual creations developed by Artifium shall remain the property of Artifium, unless otherwise agreed in writing.
Upon full payment, the client shall obtain a right of use for the agreed purposes.
8. Liability
Artifium’s liability is limited to direct damage resulting directly from a proven fault.
In all cases, Artifium’s total liability shall be limited to the amount of the invoices paid for the relevant assignment during the preceding twelve months.
Artifium cannot be held liable for indirect damage, loss of profit, loss of revenue, reputational damage or consequential damage.
9. Termination
Either party may terminate an ongoing cooperation in writing by giving 30 calendar days’ notice, unless otherwise agreed.
All services already provided and costs already incurred shall remain payable.
10. Force Majeure
Artifium shall not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to technical failures, government measures, strikes, illness or other events of force majeure.
11. Governing Law and Jurisdiction
All agreements and disputes shall be governed exclusively by Belgian law.
Any disputes shall fall under the exclusive jurisdiction of the courts of the judicial district in which Artifium’s registered office is located.
